Basma Adeem Medical Co. (Smile Care), listed on Tadawul's Nomu parallel market, has officially terminated its non-binding memorandum of understanding (MoU) with Al-Ajaji Trading Co. The prospective deal involved the full acquisition of Fahad Abdullah Al-Ajaji Dental Complex Co. The decision came after both parties failed to reach a final binding agreement.

According to the corporate statement released on Tadawul, the cancellation of the MoU incurs no financial obligations or liabilities for Smile Care. Furthermore, the management confirmed that the termination would have no material impact on the company's financial position or ongoing operational performance.

This development highlights the cautious approach companies are taking toward mergers and acquisitions in Saudi Arabia's healthcare sector. Investors on Tadawul will keep a close eye on Smile Care's upcoming quarterly financial statements and alternative expansion strategy following the collapse of this transaction.
